Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Triaage platform, websites, APIs, software, integrations, AI systems, applications, and related services (collectively, the "Services") operated by Triaage AI ("Triaage," "Company," "we," "our," or "us").

By accessing or using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you are using the Services on behalf of an organization or legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not access or use the Services.

1. Eligibility

You must be at least 18 years of age or the age of majority in your jurisdiction to use the Services. By accessing or using the Services, you represent and warrant that you have the legal capacity to enter into these Terms, that your use of the Services will comply with all applicable laws and regulations, and that you are not prohibited from using the Services under applicable export control or sanctions laws.

2. Description of the Services

Triaage provides AI-powered workflow automation, decision-tree systems, agent orchestration tools, operational knowledge systems, SOP management tools, and related automation technologies.

The Services may include AI-generated outputs, APIs, integrations, automations, collaborative tools, analytics features, and experimental functionality.

Triaage may modify, suspend, replace, remove, or discontinue any portion of the Services at any time without liability.

We do not guarantee that any feature or functionality will remain available indefinitely.

3. Accounts & Security

Certain features of the Services require account registration. You agree to provide accurate and complete information, maintain the security and confidentiality of your credentials, and promptly notify Triaage of any unauthorized access or security incidents involving your account.

You are solely responsible for all activity occurring under your account, including workflows, automations, prompts, configurations, and actions taken by authorized users within your organization. You are also responsible for maintaining appropriate internal access controls and safeguarding account credentials.

Triaage reserves the right to suspend or terminate accounts that violate these Terms, create security risks, abuse platform resources, or expose Triaage or third parties to liability.

4. Customer Content & Ownership

You retain all ownership rights in any data, workflows, SOPs, prompts, documents, knowledge bases, automations, policies, decision trees, or other materials submitted to or created through the Services ("Customer Content"). As between the parties, you retain ownership of Customer Content, while Triaage retains ownership of the Services, software, APIs, infrastructure, AI systems, documentation, platform architecture, trademarks, and all related intellectual property.

You grant Triaage a limited, worldwide, non-exclusive license to host, store, reproduce, process, transmit, and use Customer Content solely as reasonably necessary to provide, maintain, support, secure, and improve the Services.

Triaage does not acquire ownership of Customer Content. You represent and warrant that you possess all necessary rights, permissions, and authorizations to submit and process Customer Content through the Services.

5. AI Systems & Generated Outputs

The Services utilize artificial intelligence systems and automated technologies to generate outputs, responses, recommendations, workflows, classifications, summaries, and automations ("AI Outputs"). You acknowledge that AI systems are probabilistic in nature and may generate inaccurate, incomplete, misleading, biased, or inconsistent outputs.

Triaage does not guarantee the accuracy, reliability, legality, completeness, or suitability of AI Outputs for any purpose. You remain solely responsible for reviewing and validating AI Outputs, exercising human oversight over automations, and determining whether outputs are appropriate for your intended use.

The Services are not intended to provide legal, financial, medical, employment, compliance, housing, or professional advice, and you agree not to rely on the Services as a substitute for independent professional judgment.

6. AI Model Processing & Data Usage

As part of providing the Services, prompts, workflows, and Customer Content may be processed by third-party model providers, infrastructure providers, and integrated systems solely for the purpose of delivering requested functionality.

Unless explicitly agreed otherwise in writing:

  • Triaage does not use Customer Content to train generalized public AI models;
  • Triaage does not claim ownership over Customer Content; and
  • Customer Content is processed solely for service delivery, reliability, support, operational, analytics, and security purposes.

You are solely responsible for determining whether Customer Content contains regulated, confidential, or sensitive information suitable for processing through the Services.

7. Acceptable Use

You agree not to use the Services in violation of applicable laws or regulations, to infringe intellectual property rights, distribute malware or malicious code, engage in deceptive or unlawful conduct, impersonate individuals or organizations, interfere with platform security, scrape or excessively access the platform, reverse engineer the Services, bypass usage restrictions, or deploy high-risk automations without appropriate safeguards.

Triaage reserves the right to investigate suspected violations and suspend or terminate access at its discretion.

8. Third-Party Services & Integrations

The Services may integrate with third-party systems, APIs, cloud infrastructure providers, payment processors, and AI model providers. Triaage is not responsible for third-party outages, API changes, security practices, actions or omissions of external providers, or the continued availability of integrations.

Your use of third-party services remains subject to those providers' own terms and policies.

9. Subscription Terms, Billing & Payments

Certain Services require paid subscriptions. Unless otherwise agreed in writing, subscriptions renew automatically, fees are billed in advance on a recurring basis, and all fees are non-refundable except where required by law. Taxes are your responsibility, and you authorize Triaage to charge your payment method automatically.

Triaage reserves the right to modify pricing upon reasonable advance notice. Failure to satisfy payment obligations may result in suspension, downgrade, restriction, or termination of access to the Services.

10. Confidentiality

Triaage acknowledges that customers may upload proprietary operational information, including SOPs, workflows, escalation logic, internal policies, and business processes. Each party agrees to use commercially reasonable efforts to protect confidential information disclosed by the other party and to use such information solely in connection with the Services.

Confidential information does not include information that becomes publicly available through no fault of the recipient, was lawfully known prior to disclosure, is independently developed without use of confidential information, or is lawfully obtained from a third party.

11. Intellectual Property

The Services, including all software, APIs, interfaces, workflows, designs, infrastructure, documentation, trademarks, logos, and related technology, are owned by Triaage or its licensors and are protected under applicable intellectual property laws.

No ownership rights are transferred to you under these Terms.

Your right to use the Services is limited, revocable, non-exclusive, non-transferable, and subject to compliance with these Terms.

12. Beta Features

Triaage may offer beta, preview, experimental, or early-access features from time to time.

Such features are provided on an "as is" and "as available" basis without warranties of any kind and may be modified, suspended, or discontinued at any time.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRIAAGE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND UNINTERRUPTED AVAILABILITY.

Triaage does not guarantee that the Services will be uninterrupted or error-free, that AI Outputs will be accurate or reliable, that data loss will never occur, or that the Services will meet your specific requirements.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRIAAGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, OR BUSINESS OPPORTUNITIES.

TRIAAGE SHALL NOT BE LIABLE FOR DECISIONS, ACTIONS, OR AUTOMATIONS BASED ON AI OUTPUTS OR CUSTOMER CONFIGURATIONS.

TRIAAGE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY YOU TO TRIAAGE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

15. Indemnification

You agree to indemnify, defend, and hold harmless Triaage, its affiliates, officers, employees, contractors, licensors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your Customer Content, misuse of the Services, violation of these Terms, infringement claims, unlawful activity, or your workflows, automations, and AI deployments.

16. Termination

You may discontinue use of the Services at any time. Triaage may suspend or terminate access immediately if you violate these Terms, fail to satisfy payment obligations, create security risks, engage in unlawful activity, or otherwise threaten the integrity or operation of the platform.

Upon termination, your access rights immediately cease, and certain data may be deleted after a reasonable retention period. Provisions intended to survive termination shall remain enforceable.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively through binding arbitration in Delaware, except for claims involving intellectual property, injunctive relief, or unauthorized access to the Services.

YOU WAIVE ANY RIGHT TO A JURY TRIAL OR PARTICIPATION IN A CLASS ACTION.

18. Miscellaneous

These Terms constitute the complete and exclusive agreement between the parties regarding the Services.

If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.

Failure to enforce any provision shall not constitute a waiver.

You may not assign these Terms without prior written consent from Triaage.

Triaage may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets.

Triaage shall not be liable for delays or failures resulting from causes beyond its reasonable control.
